Terms of Service

SmarterDigi operates as a digital agency delivering:

• Custom Website Design & UI/UX Design
• Web & Web Application Development (frontend, backend, CMS, and full-stack solutions)
• Paid Performance Marketing (Google Ads, Meta Ads)
• E-Commerce Platform Development & Maintenance
• Search Engine Optimization (SEO) & Local SEO
• Digital Consulting & Technical Website Audits

• Defined Scope: All project specifications, deliverables, milestones, and commercial terms are governed by the formal proposal, statement of work (SOW), or written agreement provided prior to project kickoff.
• Scope Creep & Revisions: Any functional additions, architectural modifications, or revision requests outside the originally defined project scope will be evaluated separately and billed under a new estimate or change request.

• Required Assets: Clients must provide all necessary content, branding guidelines, high-resolution imagery, copy, API keys, hosting credentials, and domain access in a timely manner to maintain agreed timelines.
• Asset Rights & Licensing: The client warrants that all text, logos, photographs, and multimedia supplied to SmarterDigi are owned by the client or properly licensed. The client assumes full legal and financial responsibility for any copyright or intellectual property claims arising from materials supplied by them.

• Milestone Acceptance: Upon delivery of wireframes, design mockups, staging previews, or development milestones, the client has seven (7) business days to submit consolidated written feedback or revision requests.
• Deemed Acceptance: In the absence of written revisions or communication within seven (7) business days, deliverables are deemed approved, allowing the project to advance to the subsequent milestone or final deployment.

• Invoicing Schedule: Development projects typically require an initial advance deposit prior to kickoff, with remaining payments scheduled against verified milestones as specified in the proposal.
• Handover & Deployment: Final production deployment, repository transfers, database handovers, and domain DNS pointing occur strictly after full settlement of all outstanding invoices.
• Late Payments: Invoices past due by more than fourteen (14) days may result in a temporary suspension of active development, advertising campaign management, or technical support.

• Client-Specific Deliverables: Upon complete receipt of all project fees, the client owns full rights to the bespoke UI/UX designs, front-facing website visuals, brand assets, and custom copy produced specifically for the project.
• Underlying Frameworks & Libraries: SmarterDigi retains ownership of proprietary internal starter code, custom utilities, workflow scripts, and third-party open-source libraries (e.g., React, Next.js, Tailwind CSS, Laravel, WordPress components). The client is granted a perpetual, non-exclusive, royalty-free license to use these technologies as integrated into their deployed website.

SmarterDigi is not responsible for outages, performance degradations, data loss, policy updates, or fee changes caused by third-party infrastructure providers, including web hosting hosts, domain registrars, payment gateways, cloud servers, or advertising networks (Google, Meta).

• We apply industry-standard technical SEO, clean semantic code structures, and Core Web Vitals optimization to maximize search visibility.
• However, because organic ranking algorithms, competitor actions, and search engine parameters are governed solely by third parties (such as Google), SmarterDigi does not guarantee specific ranking positions, keyword placements, or predetermined revenue figures.

To the fullest extent permissible by applicable law, SmarterDigi, its team members, and associates shall not be liable for any direct, indirect, incidental, punitive, or consequential damages resulting from website downtime, server failures, unauthorized security intrusions, data loss, or business interruption. Our total aggregate liability under any claim arising out of our services shall not exceed the total fees paid by the client for the specific service phase in question.

These Terms are governed by and construed under the laws of the National Capital Territory of Delhi, India. In the event of any legal dispute, controversy, or claim arising from these terms or our services, the exclusive jurisdiction shall lie with the competent courts located in Delhi, India.
